Terms and Conditions of Service

Ma Te Japan

These Terms of Use (hereinafter referred to as the "Terms") stipulate the terms and conditions of the provision of Ma Te Japan (hereinafter referred to as the "Service") and the rights and obligations between Ma Te Japan. (hereinafter referred to as the "Company") and the users of The Service (hereinafter referred to as the "Users") of The Service. When using The Service, you must read the full text of these Terms and Conditions and agree to them.

Article 1 (Applicable)

    1. These Terms and Conditions are intended to determine the terms of the provision of The Service and the rights and obligations between Ma Te Japan and The User regarding the use of The Service, and applies to all relationships related to the use of The Service between Ma Te Japan and The User.
    1. The rules regarding the use of The Service posted by Ma Te Japan on Ma Te Japan's website shall constitute a part of these Terms.
    1. If the contents of these Terms of Use differ from the rules set forth in the preceding paragraph or any other description of The Service outside of these Terms, the provisions of these Terms shall prevail.

Article 2 (Definition)

  • "Service User Agreement" means this agreement and the use of The Service Agreement between Ma Te Japan and The User.
  • "Ma Te Japan" means Ma Te Japan which that provides "The Service".
  • "The User" means an individual or corporation or organization that has consented to the application as a user of The Service as a user of The Service based on Article 3 (Application).
  • "The Service" means a service or services provided by Ma Te Japan (including The Service after the change if the name or content of The Service is changed for any reason).

Article 3 (Application)

    1. When an individual authorizes to use The Service, he/she shall present identification such as thier Email, Phone Number, Name, & Owned Local Business address.
    1. If you meet the following conditions, you can continue to use our service
    • A: The services you're integrating with are a fully Owned Local Buisness
    • B: The services you're integrating with are a fully operated by a representative of the Owned local Buisness
    1. Ma Te Japan may refuse the application if the applicant falls under any of the following reasons, and Ma Te Japan shall not be obligated to disclose any of the reasons.
    • When there is a false, erroneous error, or omission in the registration items provided to Ma Te Japan.
    • If it is either a minor, an adult guardian, a insured person or an auxiliary person, and has not obtained the consent of a legal representative, adult guardian, curator, or an auxiliary person, etc.
    • Antisocial forces, etc. (meaning antisocial forces, gangsters, companies and organizations related to organized crime groups, general assembly houses, social and political movements, and special intelligence gangster groups, and other antisocial forces equivalent to these.) If Ma Te Japan determines that it is the same hereinafter the same or that it is engaged in some kind of interaction or involvement with antisocial forces, etc., such as cooperating with the maintenance, operation, or management of antisocial forces, etc. through funding, etc.
    • When Ma Te Japan determines The User is committing violent acts, fraud, threats, business sabotage, or other illegal acts using themselves or a third party using themselves or a third party through Ma Te Japan's services
    • When Ma Te Japan determines that The Person who has violated the contract with Ma Te Japan in the past.
    • If Ma Te Japan receives the measures specified in Article 12, or if we judge that we may receive the measures
    • If Ma Te Japan determines the consent of The User is not appropriate

Article 4 (Service, change, and termination of this service)

    1. Ma Te Japan shall provide The Service to The User based on these Terms and Service Agreement.
    1. Ma Te Japan shall grant The User the account of the management console used to use The Service.
    1. Ma Te Japan may change the contents of The Service or terminate the provision of The Service without obtaining the consent of The User. If Ma Te Japan changes the contents of The Service, the change shall be based on common sense, common sense, sincerity, etc. as a service provider. When Ma Te Japan terminates the provision of The Service, Ma Te Japan shall notify The User in advance.
    1. Ma Te Japan shall not be liable for any damage caused to The User based on the measures taken by Ma Te Japan based on this Article.

Article 5 (Usage Fees, Payment Dates and Payment Methods)

    1. The User shall pay Ma Te Japan the initial cost, usage fee based on The Service usage contract, and the amount equivalent to the consumption tax (hereinafter referred to as "use fee, etc.") based on the payment method specified by Ma Te Japan as consideration for the use of The Service.
    1. The payment method for usage fees is as follows.
    • Payment of usage fees, etc. shall be transferred to the bank account designated by Ma Te Japan or by debit from the account.
    • Ma Te Japan engages with square.com to gather initial concent for invoice billing.
    • Ma Te Japan's billing cycle starts at the first of every month and ends on the last day of every month.
    • Ma Te Japan shall close the usage fee, etc. of the current month on the last day of each month, and issue an invoice by the 15th of the following month of the billing cycle month.
    1. If the The User delays payment of usage fees, etc., The Service will be paused until payment of invoices are fulfilled. After which, The Service will continue to operate for The User

Article 6 (Prohibited Matters)

    1. The User shall not engage in any of the acts described in the following items when using The Service.
    • Acts that violate laws or acts related to crimes
    • Acts contrary to public order and morals
    • Acts that infringe the copyrights, patent rights, design rights, trademark rights, and other rights of Ma Te Japan or a third party
    • Acts that cause disadvantage, damage, or discomfort to Ma Te Japan or a third party
    • Distribution of harmful computer programs such as computer viruses
    • Acts that technically and virtually hinder the stable operation of this service
    • Excessive load on the network or system of The Service
    • Acts that may interfere with the operation of The Service
    • Other acts that Ma Te Japan deems inappropriate
    1. Ma Te Japan may cancel The Service agreement, suspend the use of The Service, suspend the use of The Service, suspend the delivery of emails using The Service, and take other measures that Ma Te Japan deems appropriate.
    1. Ma Te Japan shall not be liable for any damage caused to The User based on the measures taken by Ma Te Japan found in this Article.

Article 7 (Non-guarantee of performance)

    1. If you use this service in a manner other than the recommended usage environment (hereinafter referred to as the "recommended environment") by our company, you may not be able to use some of the functions of this service, the operation may be inconvenient, and the expected utility may not be realized.
    1. Even in the recommended environment, The Service may cause problems stipulated in the preceding paragraph due to various circumstances, and Ma Te Japan does not guarantee the quality, function, etc. of The Service in the recommended environment.

Article 8 (Operation, Management, and Quality Improvement of Services)

    1. As a general rule, the system for providing this service shall operate "24 hours 365 days". However, the operation will not be suspended due to unavoidable reasons such as repair and maintenance of systems or related equipment. In such cases, Ma Te Japan will give advance notice as much as possible, but in the case of natural disasters, sudden accidents, disabilities, judicial and administrative orders, etc., the notification may be omitted.
    1. Ma Te Japan shall not be liable for any damage caused to The User based on the measures taken by Ma Te Japan based on this Article.

Article 9 (Management of Users)

    1. The User shall use The Service at his own expense and responsibility to store his/her own email data, etc., and take measures against harmful data such as computer viruses, and Ma Te Japan shall not make any guarantees to these, and shall not be liable for any damage resulting from it.
    1. The User shall be obliged to use The Service as follows. In addition, if The User violates these and determines that Ma Te Japan will not provide The Service, we may warn The User, suspend the provision of services, or cancel this agreement, and The User shall not object to this at all.

Article 10 (Limitation of Liability, Exemption)

    1. Ma Te Japan does not guarantee that The Service is suitable for the specific purpose of The User, that it is useful, or that there are no defects in the specifications of certain programs, etc.
    1. Ma Te Japan shall not be liable for any damage to The User who may use The Service, inability to use, or otherwise cause any damage to The User in connection with The Service. However, this shall not apply to the event of damage caused by Ma Te Japan's own willful intention or gross negligence that should be considered as equated.
    1. Even if Ma Te Japan is liable for damages in accordance with the provisions of the preceding paragraph, Ma Te Japan shall not be liable for any damage, consequential, incidental or consequential damage, incidental or consequential damage, loss of profits or other indirect damages arising out of special circumstances, regardless of whether the parties have foreseen it or not.
    1. Ma Te Japan shall not be liable for any transactions, communications, disputes, disputes, etc. that occur between The User and other users or third parties in connection with The Service.

Article 11 (Intellectual Property Rights)

  1. All intellectual property rights (copyrights, trademark rights, patent rights, etc.) such as software, content, materials, and trademarks provided to users for the use of this service belong to Ma Te Japan or a third party with their legitimate rights. The User does not acquire any rights to these intellectual property rights by using The Service. In addition, The User may not use all or part of the contents of The Service by reproduction, modification, distribution, transfer, exhibition, execution, sale, licensing or other means without the prior written consent of The Service provider.
  2. If The User causes damage to Ma Te Japan or a third party due to infringement of the intellectual property rights stipulated in the preceding paragraph, The User shall be liable for the damages.

Article 12 (Term of Use, Termination of Contract)

    1. Ma Te Japan may temporarily suspend the use of The Service or cancel The Service Usage Agreement without prior notice or notice to The User of The User if The User falls under any of the following reasons.
    • If you violate any of the provisions of these Terms and Conditions.
    • When it is found that there is a false or fraudulent fact in the registration matter.
    • When Ma Te Japan determines that The Service is being used for illegal or unfair purposes.
    • When Ma Te Japan discovers that The User has misused The Service in the past, or that Ma Te Japan has some relationship with an individual, corporation, or organization that has misused The Service similar to this service.
    • When Ma Te Japan determines that it is necessary to suspend the provision of The Service or cancel the contract in order to protect the network, system, and users of The Service
    • If you have been suspended or insolvent, or have filed for initiation of bankruptcy proceedings, initiation of civil rehabilitation proceedings, initiation of company rehabilitation proceedings, commencement of special liquidation, or similar proceedings.
    • If you do not use The Service for more than three consecutive months
    • If you have not responded to inquiries from Ma Te Japan representatives or other requests for answers for more than thirty days
    • When Ma Te Japan determines that The User or the affiliated company or related company of The User or the related company or related company is under the influence of antisocial forces, etc., or antisocial forces, etc
    • If you receive a non-traffic disposition of a handprint or check, or if you are suspended from a bank transaction
    • In addition, when Ma Te Japan determines that it is not appropriate to use The Service or continue The Service use contract
  1. If any of the reasons in the preceding paragraph apply, The User shall naturally lose the benefit of the deadline for any of the obligations owed to Ma Te Japan, and shall immediately pay all debts to Ma Te Japan.
  2. Ma Te Japan shall not be liable for any damage caused to The User as a result of the actions taken by Ma Te Japan based on this Article.

Article 13 (Term of Use, Termination)

    1. The validity period fo The Service agreement shall, in principle, be until the end of the month, except for the minimum period of use specified at the time of application. Unless The User informs Ma Te Japan via email by the 10th day of the invoicing month. The Service subscription will be automatically renewed for the proceeding month, herein and after shall continue to be automatically renewed until cancellation of The Service is recieved via The Service or E-mail.
    1. If you cancel The Service during the validity period of The Service Agreement, you shall pay the usage fee, etc. equivalent to the remaining period, etc., in bulk to Ma Te Japan by the end of the month of the cancellation.

Article 14 (Response after the end of the use of The Service)

    1. The User shall complete the download of the necessary distribution log data, etc. from the Management Console of The Service by the end of The Service Agreement.
    1. After the termination of The Service usage contract, we will delete all data except nessicary account information of The User. Even if The User requests data to be submitted after the end of The Service Agreement usage contract, it is not possible to pass on the data to The User.
    1. Ma Te Japan shall not be liable for any damage, etc. caused to The User as a result of the measures and actions set forth in the preceding paragraph.

Article 15 (Confidentiality on The User's Side)

Without prior written consent of Ma Te Japan, The User shall handle non-public information disclosed by Ma Te Japan confidentially in connection with The Service guidelines and leading principles.

Article 16 (Confidentiality of Ma Te Japan)

    1. Ma Te Japan shall not disclose to a third party information unauthorized information obtained in the course of business, in addition to the log of The User and the diagnosis results conducted in this service.
    1. In the event of any of the following, Ma Te Japan may disclose The User’s registered matters and the information set forth in the preceding paragraph.
    • When disclosure is forced by law or by order of a court or other administrative agency
    • When inquiries from public institutions with legal reference authority, or other inquiries based on laws and regulations are made
    • In addition, if we judge that it is appropriate to cooperate with the investigative authorities or administrative authorities
    • When we receive explicit permission from The User
    1. Notwithstanding the provisions of the first paragraph of this Article, Ma Te Japan shall be able to disclose the necessary information for the execution of business to the subcontractors, etc. selected by Ma Te Japan in providing this service (including optional services). When disclosing information based on this paragraph, Ma Te Japan shall place an appropriate confidentiality obligation on subcontractors, etc.

Article 17 (Handling of User Registration Items)

    1. The handling of The User's Registration Items by Ma Te Japan shall be in accordance with the provisions of Ma Te Japan's Privacy Policy, and The User agrees that Ma Te Japan will handle User's information in accordance with Privacy Policy.
    1. Ma Te Japan may use and disclose the information, data, etc. provided by The User to Ma Te Japan at its discretion as statistical information in a form that does not identify The User.

Article 18 (Changes to these Terms, etc.)

Ma Te Japan may change these Terms and Conditions. Ma Te Japan shall notify The User of the change and if The User uses The Service or does not take the procedure for cancellation within the period specified by Ma Te Japan after the notification of the change, The User shall be deemed to have agreed to the change of the Terms.

Article 19 (Change of notice, registration items)

    1. Notices made by Ma Te Japan to The User based on these Terms and Conditions shall be made in writing or by e-mail to the location or e-mail address of the place of registration at the time of application to Ma Te Japan.
    1. The User shall notify Ma Te Japan of such changes without delay in the manner specified by Ma Te Japan in the event of a change in the registered matters.
    1. If an electronic notice is not recieved by The User, The User may request a written notice sent via Post if The User's address is registered with The Service.

Article 20 (Transfer of status under The Service use contract, etc.)

    1. You may not assign, transfer, secure, or otherwise dispose of any third party for your status under The Service Agreement or your rights or obligations under these Terms without our prior written consent.
    1. In the event that Ma Te Japan transfers the business related to this service to another company, Ma Te Japan may transfer the status under The Service use contract, rights and obligations under this agreement, as well as The User's registration items and other user information to the transfer of the business to the transferee of the business transfer, and The User shall be deemed to have agreed in advance to such transfer in this section. The business transfer specified in this paragraph shall include not only the normal business transfer but also Ma Te Japan split and any other cases in which the business is transferred.

Article 21 (Possibility of Separation)

Even if any provision or part of these Terms and Conditions is held to be invalid or unenforceable by the Consumer Contract Act or other laws and regulations, the remainder of the provisions of these Terms and Conditions and any remaining provisions that are found to be invalid or unenforceable shall remain in full force and effect.

Governing Law and Jurisdiction

    1. The governing law of these Terms and Service Agreement shall be governed by the laws of Japan.
    1. The District Court within Japan shall be the exclusive court of jurisdiction in the first instance for any dispute arising out of or in connection with these Terms and Conditions or The Service Agreement.

Supplementary Provisions

  • Terms and Conditions posted on May 20th, 2026
